Enterprise Terms of Service
These Terms of Service ("Agreement") constitute a legally binding agreement between Radiome Health Private Limited ("Radiome Health", "Company", "we", "us") and the institutional customer or legal entity accessing or using Genix BaseScale™ ("Customer", "you").
1. Scope of Service & Software Architecture
Genix BaseScale™ is an enterprise-grade cloud FinOps and compute optimization middleware designed for Nextflow DSL2 and WDL 1.0 bioinformatics workflows. The Service consists of:
- Worker Node Agent (
basescale-ebpf-agent): A pure-Rust daemon deployed onto Customer compute clusters (AWS Batch, EKS, Google Cloud Batch, GKE) to observe kernel cgroup RSS memory and intercept Spot preemption notices. - Control Plane (
basescale-control-plane): Centralized intelligence service providing static AST flow analysis, dynamic container right-sizing curves, Spot bidding strategies, and cryptographic SHA-256 audit ledger chaining.
2. Zero-Rewrite & Pipeline Integrity Warranty
Company warrants that Genix BaseScale does not require Customer to alter, refactor, or rewrite scientific logic within standard Nextflow DSL2 or WDL 1.0 pipeline scripts. BaseScale operates non-intrusively via runtime orchestrator configuration profiles (e.g. AWS Batch job definition right-sizing and pre-warmed Spot launch templates).
Guaranteed: P95 + 25% safety headroom buffer prevents container Out-Of-Memory (OOM) failures while capturing maximum Spot and right-sizing savings.
3. Customer Data Ownership & Zero PHI Egress
Customer retains sole, exclusive ownership of all proprietary sequencing data, workflow files, reference genomes, and analysis outputs.
Zero-Payload Egress: Company covenants that Genix BaseScale kernel probes do not access, copy, or transmit raw biological sequences (.fastq, .bam, .cram, .vcf) or Protected Health Information (PHI). Telemetry is strictly limited to OS resource utilization metrics and workflow task hashes.

5. Risk-Free Read-Only FinOps Audit
During an authorized 30-Day Read-Only Audit evaluation, BaseScale is deployed with passive monitoring privileges only (zero compute resizing, zero cluster mutation). Customer incurs zero licensing fees during the audit period. The resulting FinOps blueprint provides empirical validation of recoverable waste across Customer's Nextflow/WDL workloads.
6. Enterprise Security & Compliance
Radiome Health maintains institutional security controls, including:
- SOC 2 Type II: Annual independent audits certifying security, confidentiality, and processing integrity.
- HIPAA § 164.312 Safeguards: Cryptographically verified zero-payload boundaries and mandatory execution of standard Business Associate Agreements.
- Tamper-Evident Ledger: SHA-256 block chaining of all optimization recommendations and spot actions for verifiable compliance tracking.
7. Mutual Indemnification & Limitation of Liability
Company agrees to defend and indemnify Customer against any third-party claims alleging that Customer's authorized use of the Service infringes any patent, copyright, or trade secret.
Except for gross negligence, willful misconduct, or breaches of Section 3 (Data Ownership & Zero PHI Egress), neither party's aggregate liability arising out of or related to this Agreement will exceed the total amounts paid by Customer in the preceding twelve (12) months.
8. Governing Law & Corporate Entity
This Agreement is governed by the laws of the jurisdiction specified in Customer's commercial Order Form, without regard to conflicts of law principles.
